THE LADY ACE GOLF CLUB MEMBERSHIP AGREEMENT
This Membership Agreement (“Agreement”) is made and entered into by and between Lady Ace Golf Club (the “Club”) and the undersigned individual (the “Member”). The Club and the Member are sometimes referred to individually as a “Party” and collectively as the “Parties.”
1. PRESALE MEMBERSHIP TERMS
1.1 Presale Period & Deposit

- Members enrolling during the Presale Period must pay a $25 setup fee (the “Deposit”).
- The Deposit will only be refundable if the Club does not open by December 31, 2025. If the Club opens on or before December 31, 2025, the Deposit becomes non refundable and will be applied as stated in Section 3.1 below.
1.2 Use of Presale Membership

- During the Presale Period, prospective Members will complete all membership documentation, pay the required Deposit, and agree to abide by the Club’s policies, rules, and any additional presale terms.
- Once the Club opens, full membership benefits and obligations commence as outlined in this Agreement.
2. TYPES OF MEMBERSHIP & FEES
2.1 Annual (Platinum) Membership ________ Initial

- Cost: $3,200 per year, payable at the time of enrollment (or upon Club opening for presale Members) and every year on the anniversary date thereafter.
- Benefits: Unlimited golf simulator play (24-hour facility access).
- Renewal: Automatically renews each year on the anniversary of membership or opening date, unless canceled with at least thirty (30) days’ advance written notice.
2.2 Gold Monthly Membership _________ Initial

- Cost: $250 per month.
- Simulator Sessions: 12 one-hour sessions per month.
- Commitment: A minimum of six (6) consecutive months is required.
- Renewal: Automatically renews on a month-to-month basis after the initial six-month period unless canceled with at least thirty (30) days’ advance written notice.
- Early Cancellation: Any cancellation received before the six-month term ends will incur charges for the remaining balance of that term.
2.3 Silver Monthly Membership _______ Initial

- Cost: $200 per month.
- Simulator Sessions: 8 one-hour sessions per month.
- Commitment: A minimum of six (6) consecutive months is required.
- Renewal: Automatically renews on a month-to-month basis after the initial six-month period unless canceled with at least thirty (30) days’ advance written notice.
- Early Cancellation: Any cancellation received before the six-month term ends will incur charges for the remaining balance of that term.
2.4 Bronze Monthly Membership _______ Initial

- Cost: $150 per month.
- Simulator Sessions: 6 one-hour sessions per month.
- Commitment: A minimum of six (6) consecutive months is required.
- Renewal: Automatically renews on a month-to-month basis after the initial six-month period unless canceled with at least thirty (30) days’ advance written notice.
- Early Cancellation: Any cancellation received before the six-month term ends will incur charges for the remaining balance of that term.
2.5 Additional Membership Categories

- The Club may introduce additional types of memberships (e.g., Junior, Honorary) or amend existing categories at its discretion upon reasonable notice to Members.
3. PAYMENT TERMS
3.1 Setup Fee / Deposit
-
- Presale Deposit: A $25 Deposit is required for Members joining during the Presale Period. This Deposit is refundable only if the Club fails to open by December 31, 2025. Once the Club opens, the Deposit becomes non-refundable and is credited toward the Member’s future dues or registration fees.
3.2 Payment Schedule
-
- Platinum (Annual) Membership: A one-time payment of $3,200, due upon enrollment or Club opening, renewing annually.
- Monthly Memberships: Monthly dues (Gold $250 / Silver $200 / Bronze $150) are payable on the 1st day of each month (or other billing date specified by the Club).
3.3 Late Payment

- A late fee will be assessed if dues or other charges remain unpaid for more than ten (10) days past the due date. Repeated late or non-payment may result in suspension or termination of membership, as outlined in Section 8.
3.4 Fee Changes
-
- The Club reserves the right to revise its fee structure, annual dues, monthly dues, and other charges. The Club will give Members at least thirty (30) days’ notice before such changes take effect.
4. FACILITY ACCESS & USAGE
4.1 24-Hour Access

- All Members in good standing have 24-hour access to the Club’s facilities. • The Club may implement security measures (e.g., keycards, access codes, surveillance) for safety and to monitor usage. Members must comply with any additional security policies.
4.2 Simulator Sessions

- Booking Rules
A Member may reserve only one (1) simulator per day. Each initial reservation can be up to two (2) sequential hours in length.

If a Member wishes to continue playing the same day, they may make a second reservation for the same simulator, but only if it remains available immediately following their initial session. This second booking may be made up to 24 hours in advance, subject to availability.

Regardless of Membership tier, a Member may hold a maximum of two (2) total bookings per day, both on the same simulator.

For Gold, Silver, and Bronze Monthly Members, any unused session credits do not roll over to the next month unless the Club explicitly states otherwise.

Platinum (Annual) Members have unlimited session credits, but must follow the same booking rules and daily booking limit of two (2) total bookings on one simulator per day.

4.3 Guest Privileges

- All Members may bring up to three (3) guests per visit.
- The Member is responsible for the conduct of their guests and for any additional guest fees, if applicable.
- Guests must abide by all Club rules, regulations, and the Code of Conduct Policy.
5. MEMBERSHIP TERM AND RENEWAL
5.1 Initial Term

- For presale Members, the initial term commences on the date of the Club’s official opening (or the Member’s purchase date, whichever is later).
- Platinum (Annual) Membership: Runs for one (1) year from the commencement date.
- Monthly Memberships: Runs for a minimum of six (6) consecutive months.
5.2 Renewals
-
- Platinum (Annual) Membership: Automatically renews each year unless canceled at least thirty (30) days before the renewal date.
- Monthly Memberships: Automatically renew on a month-to-month basis after the initial six-month term, unless canceled at least thirty (30) days before the next billing cycle.
5.3 Upgrade or Downgrade

- Members may request a change in membership tier (e.g., from Bronze to Gold) by submitting a written request. Approval and any adjusted fees are at the Club’s discretion.
6. CODE OF CONDUCT & CLUB POLICIES
6.1 Code of Conduct
-
- All Members must sign the Club’s Code of Conduct Policy prior to commencing membership.
- Members are expected to behave courteously and safely, abiding by all Club standards and etiquette.
6.2 Club Rules and Regulations
-
- The Member agrees to abide by all posted rules and regulations. The Club may update these rules at any time for reasons including but not limited to safety, maintenance, or legal compliance.
- Such updates will be communicated to Members through email, Club signage, or other official notices.
6.3 Violations
-
- Violations of the Code of Conduct or Club rules may result in disciplinary measures including suspension or termination of membership, as described in Section 8.
7. LIABILITY AND ASSUMPTION OF RISK
7.1 Assumption of Risk
-
- The Member acknowledges that golf and simulator use involve inherent risks of physical injury and property damage. The Member voluntarily assumes these risks.
7.2 Release and Waiver
-
- To the fullest extent permitted by law, the Member releases and holds harmless the Club, its owners, employees, agents, and affiliates from any liability for injury, damage, or claims arising from the Member’s or their guests’ use of the Club.
7.3 Indemnification
-
- The Member agrees to indemnify and defend the Club against any claims, liabilities, or costs stemming from the Member’s or their guests’ actions or omissions at the Club.
8. SUSPENSION OR TERMINATION OF MEMBERSHIP
8.1 Grounds
-
- The Club may suspend or terminate membership for:
- Non-payment of dues or fees.
- Violation of the Code of Conduct or Club rules.
- Conduct deemed harmful to the reputation or operation of the Club.
- Any other reason deemed appropriate by the Club in its reasonable discretion.

- The Club will provide written notice of suspension or termination, stating the reason
- The Member remains liable for any unpaid fees; no refunds will be issued unless the Club decides otherwise in its sole discretion.

9. DISPUTE RESOLUTION
9.1 Negotiation

- The Parties agree to attempt to resolve disputes through good-faith discussions. 9.2 Mediation or Arbitration
- If negotiation fails, the Parties may agree to mediation or binding arbitration in the jurisdiction where the Club is located.
9.3 Legal Action
-
- If litigation becomes necessary, the prevailing Party shall be entitled to reasonable attorneys’ fees and costs in addition to any other relief granted.
10. GENERAL PROVISIONS
10.1 Entire Agreement
-
- This Agreement, together with the Code of Conduct Policy and any referenced schedules or addenda, comprises the entire agreement between the Parties and supersedes all prior understandings.
10.2 Governing Law
-
- This Agreement is governed by the laws of the state/country in which the Club is located, without regard to conflict-of-law rules.
10.3 Severability
-
- If any provision is held invalid or unenforceable, the remaining provisions shall remain in effect.
10.4 No Assignment
-
- The Member may not assign or transfer any rights or obligations under this Agreement without the Club’s prior written consent.
10.5 Waiver
-
- The failure of either Party to enforce any provision of this Agreement shall not be deemed a waiver of such provision or of any future enforcement.
10.6 Notices
-
- All notices must be delivered in writing to the other Party’s last known address or email address.

By signing below, the Member acknowledges that they have reviewed, understand, and voluntarily agree to the terms and conditions of this Membership Agreement. The Member further acknowledges:

2. Membership Levels: They have selected either the Platinum (Annual), Gold Monthly, Silver Monthly, or Bronze Monthly Membership (all monthly memberships require a six month commitment).
3. Simulator Sessions: They understand the session entitlements and usage policies, including one-hour sessions, maximum concurrent sessions, and daily booking limits.
4. Code of Conduct: They will sign and comply with the Club’s Code of Conduct Policy.
- Presale Deposit: A $25 presale Deposit is only refundable if the Club fails to open by December 31, 2025. Otherwise, it is non-refundable once the Club opens.
